These Terms of Service constitute a legally binding agreement between you and Nexara Finance AI, a company registered in Estonia. By accessing or using the Nexara Finance AI platform, APIs, and related services (the "Services"), you agree to be bound by these Terms and our Privacy Policy. The Services are intended solely for use by qualified institutional participants including registered investment advisers, banks, broker-dealers, hedge funds, and other regulated financial entities.
Access to the Services is restricted to institutional users who represent that they are: (a) qualified institutional buyers as defined under Rule 144A of the Securities Act; (b) accredited investors; or (c) regulated financial entities subject to applicable supervisory oversight. Nexara Finance AI does not provide investment advice and nothing in the Services constitutes a recommendation to buy or sell any security.
Nexara Finance AI provides an AI-powered financial analytics platform including predictive signal generation, real-time risk monitoring, portfolio optimization tools, regulatory reporting automation, and alternative data intelligence. Services are provided on a subscription basis as specified in your Order Form.
THE SERVICES ARE PROVIDED FOR INFORMATIONAL AND ANALYTICAL PURPOSES ONLY. NEXARA FINANCE AI IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER. THE SIGNALS, FORECASTS, AND ANALYTICS PROVIDED DO NOT CONSTITUTE INVESTMENT ADVICE. PAST PERFORMANCE OF ANY MODEL OR SIGNAL IS NOT INDICATIVE OF FUTURE RESULTS. ALL INVESTMENT DECISIONS REMAIN SOLELY THE RESPONSIBILITY OF THE CUSTOMER.
You retain all ownership rights to data you submit to the Services. You grant Nexara Finance AI a limited license to process this data solely to provide the Services. Nexara Finance AI retains all rights to the platform, models, algorithms, and analytical methodologies. Derived insights generated from anonymized, aggregated data may be used to improve the platform.
You may not: use the Services to engage in market manipulation or activities prohibited by securities law; share access credentials with unauthorized parties; attempt to reverse engineer any model or algorithm; use the Services in any jurisdiction where such use is prohibited by applicable law.
Fees are specified in your Order Form. Subscriptions renew automatically unless cancelled 30 days before renewal. All fees are non-refundable except as required by law. Price changes take effect at next renewal with 30 days' notice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXARA FINANCE AI'S AGGREGATE LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR TRADING LOSSES, INVESTMENT DECISIONS, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE SERVICES.
